Louisiana Corporation Names

The Louisiana Corporation name must include the word or an abbreviation of a word that indicates that the named entity is a corporation. Examples of a corporate name ending include “Incorporated,” “Corporation,” “Company,” or “Limited.” The name cannot state or imply that the corporation is formed for a purpose other than what is permitted in the articles of incorporation. Also, the name cannot be the same or deceptively similar to any active domestic or foreign corporation or LLC filed with the state.

Louisiana Limited Liability Company (LLC)Names

The Louisiana Limited Liability Company (Louisiana LLC) must use the term “Limited Liability Company”, “LLC” or “L.L.C.” The word “Limited” may be abbreviated as “Ltd.” And the word “Company” as “Co.” The name cannot state or imply that the LLC is formed for a purpose other than what is permitted in the articles of organization. Also, the name cannot be the same or deceptively similar to any active domestic or foreign corporation or LLC filed with the state.

Registered Agent

A corporation must maintain a registered agent at all times to accept any important service of process from the state. The registered agent must be located and available during regular business hours at a legal address within the state. Louisiana prohibits the use of a P.O. Box as your registered agent’s address.

Director Information

  • Minimum Number – One or more.
  • State Residence Requirements – None.
  • Age Requirements – Directors must be a natural person at least 19 years of age.
  • Directors are not required to be listed in the articles of incorporation.

Officer Information

Officers are not required to be listed in the articles of incorporation.

Stock Information

The number of shares that the corporation is authorized to issue must be included in the articles.

Corporate Records

Books and accounts showing the amounts of the corporation’s assets and liabilities, and minutes of the meetings of shareholders and directors must be kept with the corporate records.
