Kansas Corporation Names
The Kansas Corporation name must include the word “Association,” “Church,” “College,” “Company,” “Corporation,” ”Club,” “Foundation,” “Fund,” “Incorporated,” “Institute,” “Society,” “Union,” “Syndicate” or “Limited,” or one of the abbreviations “Co.,” “Corp.,” “Inc.” or “Ltd.” The name cannot state or imply that the corporation is formed for a purpose other than what is permitted in the articles of incorporation. Also, the name cannot be the same or deceptively similar to any active domestic or foreign corporation or LLC filed with the state.
Kansas Limited Liability Company (LLC)Names
The Kansas Limited Liability Company (Kansas LLC) must use the term “Limited Liability Company,” “Limited Company,” “LLC,” “L.L.C.,” “LC” or “L.C.” The name cannot state or imply that the LLC is formed for a purpose other than what is permitted in the articles of organization. Also, the name cannot be the same or deceptively similar to any active domestic or foreign corporation or LLC filed with the state.
Registered Agent
A corporation must maintain a registered agent at all times to accept any important service of process from the state. The registered agent must be located and available during regular business hours at a legal address within the state. Kansas prohibits the use of a P.O. Box as your registered agent’s address.
Director Information
- Minimum Number – One or more.
- State Residence Requirements – None.
- Age Requirements – Directors must be a natural person at least 19 years of age.
- Directors are not required to be listed in the articles of incorporation.
Officer Information
Officers are not required to be listed in the articles of incorporation.
Stock Information
The classes, as well as par value and number of shares of each class that the corporation is authorized to issue, must be included in the articles.
Corporate Records
The corporation’s bylaws, stock register, books of account, minutes of shareholders’ and directors’ meetings, and other books must be available for shareholder inspection.
